Global Depositary Receipts

Order of the Federal Service for Financial Market of Russia No. 06-1380/pz-i of June 20, 2006 approved the placement and circulation of Rosneft’s 2,140,000,000 (two billion one hundred forty million) registered ordinary shares outside the Russian Federation.

Rosneft’s Global Depositary Receipt program was carried out in July 2006. GDRs are listed on the London Stock Exchange and certify the rights with respect to Rosneft’s registered ordinary shares. One GDR is equivalent to one registered ordinary share of the Company. The depositary bank is J. P. Morgan Europe Limited.
